Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Integrate Labs, operated by MXX, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Integrate Labs provides web development, AI-powered automation, search engine optimization, custom software development, and related digital services. The specific scope, deliverables, and timeline for each engagement are defined in individual project agreements between the Company and the client.

3. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and any content or assets required for their project. Delays caused by incomplete or late client deliverables may affect project timelines and are not the responsibility of Integrate Labs.

4. Payment Terms

Payment terms are outlined in each individual project agreement. Unless otherwise stated, invoices are due upon receipt. Late payments may be subject to a service fee of 1.5% per month on the outstanding balance. Integrate Labs reserves the right to pause or suspend work on any project with an overdue balance.

5. Intellectual Property

Upon full payment, the client receives ownership of the final deliverables as defined in the project agreement. Integrate Labs retains the right to use non-confidential aspects of completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing. Third-party tools, libraries, and open-source components used in deliverables remain subject to their respective licenses.

6. Hosting and Maintenance

If the client subscribes to ongoing hosting or maintenance services, those services are provided on a month-to-month basis unless a longer term is specified in the agreement. Either party may cancel recurring services with 30 days' written notice.

7. Limitation of Liability

Integrate Labs provides services on an "as is" basis. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. The Company's total liability for any claim arising from or related to services provided shall not exceed the total amount paid by the client for those services.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement between the parties.

9. Termination

Either party may terminate a project agreement with written notice. In the event of early termination by the client, the client is responsible for payment of all work completed up to the date of termination. Integrate Labs will deliver all completed work product upon receipt of final payment.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Utah. Any disputes arising from these terms or our services shall be resolved in the courts located in Washington County, Utah.

11. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
